Agreement to Terms

By accessing or using the Wingman6 website (wingman6.com) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

Services

Wingman6 provides custom software development and consulting services. The specific scope, deliverables, timeline, and requirements for each engagement are defined in individual project scope documents agreed upon by both parties before work begins. These Terms of Service govern the general relationship between Wingman6 and its clients. In the event of a conflict between these Terms and a signed scope document, the scope document takes precedence for that specific engagement.

Client Engagement

Each project engagement is governed by an individual scope document that outlines the specific deliverables, milestones, timelines, and responsibilities of each party. Work begins only after the scope document is signed by both parties and the initial payment is received. Changes to the agreed scope require written approval from both parties and may result in adjustments to timeline and cost.

Intellectual Property

Upon receipt of final payment in full, the client receives complete ownership of all custom code, designs, and deliverables produced during the engagement. Until final payment is received, Wingman6 retains all rights to the work product. Wingman6 retains the right to use general knowledge, techniques, and non-proprietary patterns developed during the engagement in future projects. Pre-existing tools, libraries, and frameworks used in the project remain the property of their respective owners and are licensed, not transferred.

Payment Terms

Payment terms are defined in the project scope document for each engagement. The standard payment structure is 50% of the project fee due upon signing the scope document (before work begins) and 50% due upon delivery of the final product. Invoices are due within 14 days of issue unless otherwise specified in the scope document. Late payments may result in work being paused until the outstanding balance is resolved.

Warranty

Wingman6 provides a 30-day bug fix window following delivery of the final product. During this period, we will resolve any defects or bugs in the delivered work at no additional cost, provided the issue is a deviation from the agreed scope document. This warranty does not cover issues caused by modifications made by the client or third parties after delivery, hosting environment changes not managed by Wingman6, or requests for new features, enhancements, or changes beyond the original scope.

Limitation of Liability

To the maximum extent permitted by applicable law, Wingman6 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our services or website, regardless of whether we have been advised of the possibility of such damages. Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by you to Wingman6 for the specific engagement giving rise to the claim.

Termination

Either party may terminate a project engagement with written notice. If the client terminates, payment is due for all work completed up to the termination date, as documented against the scope milestones. If Wingman6 terminates, we will deliver all completed work product and refund any prepaid fees for work not yet performed. Termination of a project does not affect the rights and obligations that have accrued prior to the termination date.

Website Use

You may use our website for lawful purposes only. You agree not to use our website in any way that could damage, disable, overburden, or impair its functionality. You agree not to attempt to gain unauthorized access to any part of the website, its servers, or any connected systems. Content on this website, including text, graphics, and code, is the property of Wingman6 and is protected by applicable intellectual property laws.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, technical architecture, client data, and any materials marked as confidential. This obligation survives the termination of the engagement.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or your use of our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with applicable rules.

Changes to These Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Your continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
